Our approachOur authorisation to maintain crypto securities registers provides the regulatory basis. We register securities under the German Electronic Securities Act (eWpG) and maintain the register throughout their lifecycle.

From analogue processes to digital structures.Recognising potential. Rethinking structures.
Private markets involve individual structures and many participants. Digital securities can help: with a register entry replacing the physical certificate and a shared basis for the processes involved.
We look at your project, the parties involved and the requirements for a digital securities structure.
We implement registration with or without tokenisation in collaboration with your partners.
We maintain the register throughout the lifecycle, keeping the processes surrounding the security in view.

02 / Possibilities that take you further
Private markets take many forms: a bond for a medium-sized business, a new fund share class or real estate financing. We approach digital register maintenance from the perspective of your project.
Companies with medium- to long-term financing needs can issue an electronic bond. This opens access to a wider pool of capital providers and can reduce dependence on individual bank financing arrangements.
Capital market financing, used by large corporations for decades, is also available to medium-sized businesses. Terms and economic suitability depend on the specific project.
Entering fund units in a crypto securities register is a step towards a world of instant settlement. It may also open up new digital distribution channels.
A complete transition is not essential: individual share classes can also be issued as crypto fund units. This allows a targeted introduction.
By entering registered shares in a crypto securities register, stock corporations gain access to professional register maintenance supervised by BaFin.
Digital registration provides a basis for further development. Tradability on a secondary market requires additional legal and technical conditions and does not result from the register entry alone.
In real estate securitisation, the land register entry itself does not become a security. Instead, a special purpose vehicle (SPV) holding the property can issue participation certificates.
The terms of issue can provide for participation in rental income and future sale proceeds. This allows economic interests in a property to be represented by securities.
Issuing a crypto security can be used to raise mezzanine capital or to finance the debt portion of a real estate project through a bond.
This provides another financing option alongside traditional credit structures. The design depends on the project structure and its specific requirements.
The eWpG permits, among other instruments, bearer debt securities such as conventional bonds, convertible bonds and bonds with warrants, participation certificates, warrants and investment certificates, as well as fund units and registered shares.

We combine our expertise in private-market transactions with our authorisation to maintain crypto securities registers. Together with issuers and partners, we consider the transaction requirements and implement registration of electronic securities – with or without tokenisation. The register can provide a digital foundation for more efficient processes. The specific design depends on the project.
A crypto securities register is an electronic securities register under the eWpG. It is maintained on a tamper-proof recording system in which data is logged chronologically and stored with protection against unauthorised deletion and subsequent alteration. The register entry replaces the traditional physical securities certificate.
GfK implements registrations with and without tokenisation. We discuss the appropriate design for your project based on your requirements and the planned structure.
The possibilities include bearer debt securities, such as bonds, convertible bonds and bonds with warrants, participation certificates, warrants and investment certificates, as well as fund units and registered shares. Each issue must meet the applicable legal requirements.
In the register section you will find the terms of issue, legal information on register maintenance, the root certificate and the PDF intermediate certificate. Publicly accessible terms of issue are available on a separate page.
